Please read these Terms of Service ("Terms") carefully before using the StackHealth platform. These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Stack Health Labs Inc. ("StackHealth," "we," "us," or "our"), governing your access to and use of our website at stackhealth.com, any associated mobile applications, and all related services (collectively, the "Service"). By creating an account or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

1. Acceptance of Terms

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. If you disagree with any part of these Terms, you must not access or use the Service. StackHealth reserves the right to update or modify these Terms at any time in accordance with Section 20 below.

These Terms apply to all visitors, users, and others who access or use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" will refer to that organization.

2. Eligibility

You must be at least 18 years of age to use the Service. By accessing or using the Service, you represent and warrant that:

  • You are at least 18 years old;
  • You have the legal capacity to enter into a binding contract;
  • All information you provide is accurate, current, and complete;
  • Your use of the Service does not violate any applicable law or regulation in your jurisdiction.

Residents of jurisdictions where access to or use of the Service is prohibited are not permitted to use the Service.

3. Description of Service

3.1 Marketplace Platform

StackHealth operates an online marketplace that connects consumers with licensed, independent pharmacies and health service providers ("Partner Pharmacies"). StackHealth facilitates transactions between you and Partner Pharmacies but is not itself a pharmacy, prescriber, or healthcare provider. StackHealth does not dispense medications, practice medicine, provide clinical diagnoses, or offer medical advice.

3.2 Not Medical Advice

Nothing on the Service — including product descriptions, ingredient information, blog posts, research glossaries, or intake questionnaire prompts — constitutes medical advice, diagnosis, or treatment recommendations. The Service is for informational and transactional purposes only. Always consult a qualified, licensed healthcare professional before starting, stopping, or changing any medication, supplement, or treatment plan.

3.3 Partner Pharmacy Independence

Partner Pharmacies are independent businesses. StackHealth does not control, endorse, or guarantee the quality, safety, legality, or suitability of any products dispensed by Partner Pharmacies. Any contract for the purchase of a pharmaceutical product is directly between you and the dispensing Partner Pharmacy. StackHealth is not responsible for errors, omissions, or actions by Partner Pharmacies.

3.4 Service Availability

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

4. User Accounts

4.1 Account Registration

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You may only create one account per person; duplicate accounts are prohibited.

4.2 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account, whether or not authorized by you. You agree to immediately notify us at support@stack.health if you suspect any unauthorized use of your account or any other breach of security. StackHealth will not be liable for any loss or damage arising from your failure to comply with these security obligations.

4.3 Account Termination

StackHealth reserves the right to suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms, applicable law, or if your account has been compromised. Upon termination, your right to use the Service immediately ceases. You may request termination of your own account at any time by contacting support@stack.health.

5. Orders, Prescriptions, and Transactions

5.1 Order Placement

When you place an order through the Service, you are submitting an offer to purchase a product from the Partner Pharmacy. Your order is not confirmed until you receive an order confirmation from the dispensing pharmacy. StackHealth reserves the right to cancel orders on behalf of Partner Pharmacies where products are unavailable, pricing errors occur, or regulatory requirements are not met.

5.2 Prescription Requirements

Prescription-only medications require a valid prescription issued by a licensed prescriber with a bona fide patient-provider relationship. By submitting a prescription, you represent and warrant that:

  • The prescription is valid, unaltered, and was issued for you specifically;
  • You have a legitimate patient-provider relationship with the issuing prescriber;
  • You will use the medication only as directed by your prescriber.

Submitting a fraudulent, forged, or altered prescription is a serious criminal offense. StackHealth will report suspected prescription fraud to the relevant law enforcement and regulatory authorities and will immediately terminate the account involved.

5.3 Pricing and Payment

All prices displayed on the Service are in US Dollars and are subject to change without notice. StackHealth and its Partner Pharmacies reserve the right to correct pricing errors. You agree to pay all charges incurred at the prices in effect at the time of your order, including applicable taxes and shipping fees. Payment is processed by third-party payment processors; by providing payment information, you authorize us to charge the applicable fees.

5.4 Shipping and Delivery

Delivery timelines are estimates only and are not guaranteed. StackHealth is not responsible for delays caused by carrier issues, customs, weather, or other circumstances outside our control. Risk of loss and title to products pass to you upon delivery to the carrier.

5.5 Returns and Refunds

Due to the nature of pharmaceutical products, all sales are generally final once a medication has been dispensed. Exceptions may apply in cases of dispensing errors or defective products, subject to applicable state pharmacy board regulations. Please contact support@stack.health within 7 days of receiving your order if you believe you received an incorrect or defective product.

6. Health Intake Information

Certain products require you to complete a health intake questionnaire prior to ordering. The information you provide (e.g., height, weight, biological sex, allergies, medications, and medical conditions) is used to (a) facilitate review by a licensed pharmacy or prescriber, (b) ensure the product is appropriate for you, and (c) comply with applicable dispensing regulations. You agree to:

  • Provide accurate, complete, and truthful health information;
  • Update your health profile if your information changes materially;
  • Acknowledge that providing false health information may result in serious harm to your health and constitutes a violation of these Terms.

StackHealth and its Partner Pharmacies rely on the accuracy of your intake information. Neither StackHealth nor any Partner Pharmacy is liable for adverse outcomes resulting from inaccurate or incomplete information you provide.

7. Prohibited Conduct

You agree not to engage in any of the following prohibited activities in connection with your use of the Service:

  • Violating any applicable local, state, national, or international law or regulation, including controlled substance laws and pharmacy regulations;
  • Attempting to obtain prescription medications without a valid prescription or through deceptive means;
  • Impersonating any person or entity, or falsely representing your affiliation with any person or entity;
  • Uploading, posting, or transmitting any fraudulent, misleading, or harmful content;
  • Reverse engineering, disassembling, decompiling, or otherwise attempting to derive the source code of any part of the Service;
  • Systematically scraping, crawling, or extracting data from the Service using automated means without our prior written consent;
  • Transmitting any viruses, malware, or other harmful or disruptive code or materials;
  • Interfering with, disrupting, or attempting to gain unauthorized access to the servers, networks, or accounts connected to the Service;
  • Using the Service to facilitate the unauthorized practice of medicine, pharmacy, or any other licensed profession;
  • Engaging in any conduct that restricts or inhibits any other user from using or enjoying the Service.

StackHealth reserves the right to investigate and prosecute violations of any of the above to the fullest extent of the law.

8. Intellectual Property

8.1 StackHealth Content

The Service and its entire contents — including but not limited to text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software — are the property of Stack Health Labs Inc. or its content suppliers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. All rights are reserved.

8.2 Limited License

Subject to these Terms, StackHealth grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes. This license does not include the right to (a) resell or commercially exploit the Service or its contents; (b) collect and use product listings, descriptions, or prices; (c) make derivative uses of the Service; or (d) download or copy account information for the benefit of another merchant.

8.3 User Submissions

By submitting content to StackHealth (e.g., reviews, feedback, support messages), you grant StackHealth a worldwide, royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, modify, adapt, publish, and display such content for the purpose of operating and improving the Service. You represent that you own or have the necessary rights to grant this license.

8.4 Trademarks

"StackHealth," the StackHealth logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Stack Health Labs Inc. You may not use such marks without our prior written permission.

9. Third-Party Services and Links

The Service may contain links to or integrations with third-party websites, services, or resources ("Third-Party Services"). StackHealth does not control Third-Party Services and is not responsible for their content, privacy practices, or availability. References to any Third-Party Service do not constitute an endorsement. Your use of Third-Party Services is subject to their own terms and privacy policies. StackHealth is not liable for any loss or damage caused by your reliance on information from or use of Third-Party Services.

10. Disclaimers of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, STACKHEALTH EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING, WITHOUT LIMITATION:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT ON THE SERVICE;
  • WARRANTIES THAT DEFECTS IN THE SERVICE WILL BE CORRECTED;
  • WARRANTIES THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

STACKHEALTH MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE QUALITY, SAFETY, EFFICACY, OR SUITABILITY OF ANY PRODUCT LISTED ON THE SERVICE. PRODUCT-RELATED REPRESENTATIONS ARE MADE BY THE APPLICABLE PARTNER PHARMACIES.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL STACKHEALTH, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, REVENUES, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF STACKHEALTH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL STACKHEALTH'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO STACKHEALTH IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED US DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL. IN SUCH JURISDICTIONS, STACKHEALTH'S LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12. Indemnification

You agree to defend, indemnify, and hold harmless StackHealth and its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms;
  • Your use of the Service, including any orders you place;
  • Your violation of any applicable law or the rights of any third party;
  • Any health information or content you submit to the Service;
  • Your negligence or willful misconduct, including providing false or inaccurate health intake information.

13. Governing Law

These Terms and any dispute arising out of or related to these Terms or the Service will be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to contact StackHealth at support@stack.health and provide a written description of the dispute, the relief sought, and your contact information. The parties will attempt in good faith to resolve the dispute informally for a period of 30 days after receipt of the notice.

14.2 Binding Arbitration

If the dispute is not resolved informally, any claim, dispute, or controversy (excluding claims for injunctive or other equitable relief) arising out of or relating to these Terms or the Service will be finally settled by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, in Austin, Texas, in the English language. The arbitrator's decision will be binding and may be entered as a judgment in any court of competent jurisdiction.

14.3 Class Action Waiver

YOU AND STACKHEALTH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14.4 Exceptions

Either party may seek emergency injunctive or other equitable relief in a state or federal court of competent jurisdiction located in Travis County, Texas, to prevent imminent irreparable harm. You consent to personal jurisdiction in such courts for these limited purposes.

15. Force Majeure

StackHealth will not be liable for any failure or delay in performance under these Terms that results from circumstances beyond our reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, labor disputes, governmental actions, internet or telecommunications failures, or other events of force majeure.

16. Export Controls

You may not use, export, or re-export the Service or any component thereof in violation of United States export laws and regulations or the laws of any other jurisdiction. Specifically, the Service may not be used in or exported to countries subject to US embargoes or to persons on the US Treasury Department's list of Specially Designated Nationals or the US Department of Commerce's Denied Persons List.

17. DMCA and Copyright Policy

StackHealth respects the intellectual property rights of others. If you believe that material on the Service infringes a copyright you own or control, please submit a notice to our designated agent at support@stack.health that includes: (a) identification of the copyrighted work claimed to be infringed; (b) identification of the allegedly infringing material; (c) your contact information; (d) a statement of good-faith belief; (e) a statement of accuracy under penalty of perjury; and (f) your physical or electronic signature. We will respond to valid DMCA notices as required by law.

18. Entire Agreement and Severability

These Terms, together with our Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and StackHealth with respect to the Service and supersede all prior agreements or understandings. If any provision of these Terms is held to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

19. Waiver

StackHealth's failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of StackHealth.

20. Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we make material changes, we will provide at least 30 days' notice before the new Terms take effect by posting the updated Terms on this page, updating the "Last updated" date, and sending an email notification to the address associated with your account. If you disagree with the revised Terms, you must stop using the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the new Terms.

Stack Health Labs provides administrative and technology services to affiliated medical practices it supports, and does not provide any professional medical services itself. Stack Health Labs is not a medical provider and does not prescribe, dispense, or ship medications. All prescribing and clinical decision-making are made solely by licensed medical professionals, and medication fulfillment is handled by licensed pharmacies when prescribed.
